RECITALS The University desires to recruit and hire a new Chief Human Resources Officer (Position). The University desires to employ the services of a firm to aid in the recruitment process for the Position. The University solicited responses from various firms for the search, and Contractors response was selected. The Contractor desires to provide the services set forth in this Contract. AGREEMENT In consideration of the above Recitals, which are incorporated into this Contract, the mutual promises contained in this Contract and for other good and valuable consideration, the receipt and sufficiency of which is acknowledged by the Parties, the Parties agree as follows: 1. The Contractor shall perform the following services set forth below and as further specified in Exhibit A: 1.1 The Contractor shall gain an understanding of the Universitys environment and of the focus of the Position; define the search process; and prepare a position specification and job description in coordination with Universitys search committee (the Search Committee). 1.2 The Contractor shall comply with Universitys formal position solicitation requirements. These requirements include providing each applicant with an affirmative action data request and Clery Act data; by running an advertisement, at least once in each of the Eugene Register-Guard, the Portland Oregonian, the Chronicle of Higher Education, and any other newspaper or trade paper the Contractor may feel is applicable and also to send a notice to the State Office of Advocate for Minority, Women and Emerging Small Business in Salem, Oregon. 1.3 The Contractor shall assist the Search Committee and the Vice President for Finance and Administration to develop a pool of candidates from a broad range of sources with particular effort in locating well-qualified members of minority groups, and shall perform a preliminary evaluation and assessment of candidates; perform initial interviews as appropriate; check references and credentials and conduct background investigations. 1.4 The Contractor shall complete preliminary screening and identify candidates believed to be most suitable for the Search Committees consideration. The Search Committee, the Vice President for Finance and Administration, and other University-identified personnel shall have access to files of all qualified candidates as well as results of evaluations and investigations into candidates set forth in paragraph 1.3, above. 1.5 The Contractor shall commence work promptly upon full execution of this Contract. In accordance with the workplan attached hereto as Exhibit B, Contractor shall undertake work under this Contract in order to facilitate a start date for the new Position of approximately [INSERT DATE]. 2. University's advisor and liaison under this Contract will be the Vice President for Finance and Administration, or designee. All work product of Contractor that results from this Contract (Work Product) is the exclusive property of University. University and Contractor intend that such Work Product be deemed "work made for hire" of which University will be deemed the author. If for any reason the Work Product is not deemed "work made for hire," Contractor by this Contract irrevocably assigns to University all its right, title, and interest in and to any and all of the Work Product, whether arising from copyright, patent, trademark, trade secret, or any other state or federal intellectual property law or doctrine. Contractor will execute such further documents and instruments as University may reasonably request in order to fully vest such rights in University. Contractor forever waives any and all rights relating to the Work Product, including without limitation, any and all rights arising under 17 USC 106A or any other rights of identification of authorship or rights of approval, restriction or limitation on use or subsequent modifications. 4. Payment for Services. 4.1 University agrees to pay a flat fee of [$INSERT AMOUNT OF FEE] to Contractor for all services provided under this Contract. a. If during the course of the search for the Position, Contractor introduces University to a person who University hires for a position other than the Position within twelve (12) months of the closing of the original search (defined as the date the individual accepts Universitys offer of employment for the Position), then University shall pay Contractor [25%] of the first years compensation. 4.2 In addition to the fee set forth above, University shall reimburse Contractor for direct and indirect expenses. a. Reimbursement for indirect expenses such as Contractors expenses associated with phone, fax, postage and delivery, printing, copying, and other administrative costs. Indirect costs shall not exceed [$INSERT AMOUNT] without the prior, written approval of the University. b. Direct expenses include the direct costs of travel, meals, lodging, videoconferencing, and direct candidate expenses associated with the performance of this Contract. Direct expenses shall not exceed [$INSERT AMOUNT] without the prior written approval of the University. 4.3 Contractor will invoice University on a monthly basis for direct and indirect expenses. Contractors Guarantee. 5.1 If University hires a candidate recommended by Contractor, and then chooses to terminate the candidate within a year of the date of hire for any reason except disability or change of organizational structure, or if the candidate terminates employment within a year of the date of hire for any reason except death, disability, or change of organizational structure, Contractor shall reopen the search for the Position. 5.2 Should Contractor reopen the search pursuant to Section 5.1 above, no additional retainer fee shall be charged by Contractor. University will be responsible only for reimbursable direct expenses, and no additional percentage of the original retainer fee charged by Contractor to cover indirect expenses. 6. Term and Termination. 6.1 This Contract shall commence as of the last date of signature, and unless earlier terminated pursuant hereto, shall extend until the Contractor has satisfactorily completed the services to be provided hereunder. The Contractor shall be deemed to have satisfactorily completed the services to be provided under this Contract when the University and a candidate identified by the Contractor have executed an employment agreement or all candidates to whom the University has made an offer of employment have rejected the offer. 6.2 Either party may terminate this Contract upon material breach of the Contract by the other party and failure by such party to cure the breach within fifteen (15) days after written notice from the non-breaching party specifying the breach. In the event of such termination, the Parties shall have all remedies available under the law. 6.3 University may terminate this Contract for convenience at any time. 6.4 Should University terminate this Contract for convenience prior to the satisfactory completion of services by Contractor, University shall be obligated to reimburse Contractor for actual expenses incurred up to the date of termination, subject to the limitations and conditions set forth in this Contract, and to pay fees invoiced by Contractor through the date of termination. 6.5 Except as expressly provided in this Contract, termination of this Contract by University in accordance with this Contract shall be without any penalty, obligation for future payments, damages, or liability whatsoever against the State of Oregon, the Oregon University System, the University, or any of their officers, agents, or employees. In no event shall termination of this Contract entitle Contractor to recover anticipated profits on work not performed. 7. Warranties and Representations. 7.1 Contractor represents and warrants that: (1) Contractor has the power and authority to enter into and perform this Contract; (2) the individual signing for Contractor is authorized to execute this Contract on behalf of Contractor; (3) that the execution, delivery and performance of this Contract have been duly and validly authorized by all necessary action on the part of Contractor; (4) that this Contract has been duly executed and delivered by Contractor and constitutes a valid, binding and enforceable obligation of Contractor; (5) Contractors name, as it appears in this Contract, is Contractors legal name, as it will appear in the Contractors W-9, and if Contractor is an entity rather than an individual, that the entity named in this Contract is validly existing and in good standing. 7.2 Contractor agrees to perform such services as are set forth in this Contract with the standard of professional care and skill customarily provided in the performance of such services in Oregon and warrants that it has the skill, experience, and expertise necessary to perform the services 7.3 Contractor represents and warrants that it has in effect and will maintain all licenses and permits required for Contractor's performance of this Contract. 7.4 The warranties set forth in this Section are in addition to, and not in lieu of, any other warranties provided. 8. Insurance. Contractor will secure at Contractors expense and keep that insurance in effect during the term of this Contract either comprehensive general liability insurance with a broad form CGL endorsement or broad form commercial general liability insurance with a minimum combined single limit of not less than $1,000,000 for each occurrence and ($2,000,000 aggregate , covering bodily injury and property damage, and will include personal and advertising injury liability, products liability and contractual liability coverage for the indemnity provided under this Contract. If Contractor will be driving on campus, Contractor will secure at Contractors own expense and keep in effect during the term of this Contract a Commercial Auto Liability insurance policy with a minimum combined single limit of $1,000,000 per occurrence for each accident and $2,000,000 aggregate. Any requested insurance policies are to be issued by an insurance company authorized to do business in the State of Oregon with a minimum financial rating of an AM Best rating of A- or higher. All liability insurance will be arranged on an occurrence basis. No insurance will be allowed on a claims made basis. Upon request by University, Contractor will provide a Certificate of Insurance to University from the insuring company evidencing insurance coverage required by this Contract. The Description of Operations must include (using the following exact language) the State Board of Higher Education acting by and through the University of Oregon, their officers and employees as additional insured. 9. Indemnity. TO THE EXTENT PERMITTED BY LAW, CONTRACTOR SHALL SAVE, INDEMNIFY AND HOLD HARMLESS THE UNIVERSITY AND ITS DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS, AGAINST AND FROM ANY AND ALL LOSSES, CLAIMS, SUITS, ACTIONS, COSTS, EXPENSES, AND LIABILITY OF ANY NATURE, INCLUDING ON APPEAL AND ON ANY PETITION FOR REVIEW, ARISING OUT OF, OR RELATING TO, CONTRACTOR'S ACTS OR OMISSIONS, OR THOSE OF ITS OFFICERS, EMPLOYEES, SUBCONTRACTORS, OR AGENTS, IN THE PERFORMANCE OF ITS DUTIES UNDER THIS CONTRACT. General. 10.1 Assignment; Delegation. Contractor will not subcontract, assign or transfer any of its interest in this Contract without obtaining prior written approval from University, which consent may be withheld by University in its sole discretion. As a condition to requesting prior written approval, Contractor must provide a written copy of any such proposed assignment or subcontract to University. University's consent to any assignment or subcontract will not relieve Contractor of any of its duties or obligations under this Contract. Any assignment or subcontract in contravention of this Section will be null and void. 10.2 Successors in Interest. This Contract will be binding upon and will inure to the benefit of the Parties, and their respective successors and assigns. 10.3 Independent Contractor. The service(s) to be rendered under this Contract are those of an independent contractor. Contractor is not to be considered an agent or employee of University for any purpose, and neither Contractor nor any of Contractor's agents or employees are entitled to any of the benefits that University provides for its employees. Nothing in this Contract will be construed to create a partnership, joint venture, franchise, agency, or employment relationship between the Parties. 10.4 Records Maintenance; Access. Contractor will maintain records, sufficient to accurately document its performance of this Contract. University will have access to such records of Contractor for the purpose of determining compliance with this Contract. Contractor will retain all such records, for a minimum of six years following final payment under or termination of this Contract, or such longer period as may be required by applicable law or to conclude any audit, review, or controversy. 10.5 Notices. Except as otherwise expressly provided in this Contract, any communications between the Parties or notices to be given under this Contract will be given in writing by personal delivery, facsimile, or mailing the same, postage prepaid, to Contractor or University at the address or number set forth below, or to such other addresses or numbers as the Parties may from time to time direct in writing. Any communication or notice so addressed and mailed will be deemed to be given five days after mailing. Any communication or notice delivered by facsimile will be deemed to be given when receipt of the transmission is generated by the transmitting machine. To be effective against University, such facsimile transmission must be confirmed by telephone notice to University's supervising representative. Any communication or notice by personal delivery will be deemed to be given when actually delivered. Contractor also agrees to comply with all applicable laws prohibiting discrimination on the basis of race, sex, national origin, religion, age, sexual orientation, status as a veteran, or handicap. 10.6 No Third Party Beneficiaries. University and Contractor are the only parties to this Contract and are the only parties entitled to enforce its terms. Nothing in this Contract gives, is intended to give, or will be construed to give any benefit or right, whether directly, indirectly or otherwise, to third persons unless such third persons are individually identified by name and expressly described in this Contract as intended beneficiaries. 10.7 Force Majeure. Neither University nor Contractor will be held responsible for delay or default caused by fire, riot, acts of God, terrorist acts, or other acts of political sabotage, or war where such cause was beyond, respectively, University or Contractor's reasonable control. Contractor will, however, make all reasonable efforts to remove or eliminate such a cause of delay or default and will, upon the cessation of the cause, diligently pursue performance of its obligation under this Contract. 10.8 Severability. If any term or provision of this Contract is declared by a court of competent jurisdiction to be illegal or in conflict with any law, the validity of the remaining terms and provisions will not be affected. The Parties agree to attempt to substitute for any illegal or unenforceable provision a valid or enforceable one that achieves the economic, legal and commercial objectives of the illegal and unenforceable provision to the greatest extent possible. 10.9 Captions. The captions or headings in this Contract are for convenience only and in no way affect the meaning or interpretation of this Contract. 10.10 Survival. All provisions of this Contract that would reasonably be expected to survive the termination of this Contract will do so. 10.11 Governing Law; Jurisdiction; Venue. This Contract will be governed and construed in accordance with the laws of the State of Oregon without regard to principles of conflicts of law. Any claim, action, or suit between University and Contractor will be brought and conducted solely and exclusively within a Circuit Court for the State of Oregon. However, if any claim, action, or suit must be brought in a federal forum, it will be brought and conducted exclusively in the United States District Court for the District of Oregon. In no event will any part of this Contract be construed as a waiver by University of its sovereign and governmental immunities. BY EXECUTION OF THIS CONTRACT, CONTRACTOR CONSENTS TO IN PERSONAM JURISDICTION OF SUCH COURTS. 10.12 Time is of the Essence. Contractor agrees that time is of the essence under this Contract. 10.13 Conflict of Interest. Contractor covenants that it presently has no interest and will not acquire any interest, direct or indirect, which would conflict in any manner with or prohibit Contractors full performance of this Contract. Contractor also covenants that in the performance of this Contract no person having any such interest will be employed. Contractor further covenants that its performance of this Contract will not cause any employee or volunteer of University to violate ORS Chapter 244. 10.14 Communications Standards and Accessibility Requirements. Contractor acknowledges and agrees Universitys grounds and premises are smoke and tobacco free. Contractor and Contractors employees, agents and subcontractors, if any, agree not to smoke or use tobacco products while on University property. 10.16 Waiver. The failure of University to enforce any provision of this Contract will not constitute a waiver by University of that or any other provision. 10.17 Attachments. All attachments, addenda, schedules and exhibits which are referred to in this Contract are incorporated in this Contract. 10.18 Recycled Products. Unless expressly otherwise provided for in this Contract, all paper products will be sourced from mills using elemental chlorine-free processes and contain a minimum of 30% post-consumer waste. 10.19 Overdue Account Charges. Payment of overdue account charges by University will be subject to OAR 580-061-0050. 10.20 Economic Opportunities. Contractor will, when applicable, have made good faith efforts to work with or obtain materials to be used in performing the Contract from minority-owned, women-owned, and emerging small business enterprises. 10.21 Foreign Contractor. If Contractor is not domiciled or registered to do business in the State of Oregon, Contractor will promptly provide to the Oregon Department of Revenue and the Secretary of State, Corporation Division, all information required by those agencies relative to this Contract. Contractor will demonstrate its legal capacity to perform these services in the State of Oregon prior to entering into this Contract. 10.22 Dual Payment. Contractor will not be compensated by any other party for work performed under this Contract. 10.23 Ambiguities. Each party has participated fully in the review and revision of this Contract and neither party shall be considered the drafter for the purposes of any rule of construction that might cause any provision to be construed against the drafter of the Contract. 10.24 Merger. THIS CONTRACT CONSTITUTES THE ENTIRE AGREEMENT BETWEEN THE PARTIES. THERE ARE NO UNDERSTANDINGS, AGREEMENTS, OR REPRESENTATIONS, ORAL OR WRITTEN, NOT SPECIFIED IN THIS CONTRACT REGARDING THIS CONTRACT.
